Welcome to Milways Finance (“Milways”, “we”, “our”, or “us”). 2. Acceptance of Terms

By accessing or using our Services, you agree to comply with and be legally bound by these Terms. These Terms apply to all Users of the Services, including without limitation Users who are browsers, vendors, customers, merchants, and contributors.

3. Eligibility

You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you meet the eligibility requirements and have the legal capacity to enter into these Terms.

5. Services Provided

Milways offers a range of financial services, including but not limited to:

• Digital Asset Management: Manage both fiat and cryptocurrency holdings.

• Crypto-Backed Credit Lines: Access credit lines using your cryptocurrency as collateral.

• Yield Optimization: Maximize returns on your assets through various yield strategies.

• Multi-Asset Wallet: Securely store, manage, and trade cryptocurrencies and fiat currencies.

• Automated Yield Tools: Tools for auto-reinvesting and optimizing yields.

6. Use of Services

6.1. Permitted Use

You may use the Services solely for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• In any way that violates any applicable federal, state, local, or international law or regulation.

• For the purpose of exploiting, harming, or attempting to exploit or harm others.

• To transmit any advertising or promotional material without our prior written consent.

• To impersonate or attempt to impersonate Milways, a Milways employee, another User, or any other person or entity.

• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services.

6.2. Prohibited Activities

You agree not to:

• Fraudulent Activities: Engage in fraud, misrepresentation, or deceit.

• Unauthorized Access: Attempt to gain unauthorized access to the Services or related systems.

• Disruption: Disrupt the integrity or performance of the Services.

• Intellectual Property Infringement: Infringe upon the intellectual property rights of others.

• Data Harvesting: Collect or harvest personal information of other Users.

7. Fees and Payments

7.1. Service Fees

Certain Services may incur fees. The fees for each Service will be clearly disclosed to you prior to your use of the Service. By using a paid Service, you agree to pay the applicable fees and any associated taxes.

7.2. Payment Methods

We accept various payment methods as outlined on our platform. You agree to provide accurate and complete payment information and to keep your payment information up to date.

7.3. Refunds

All fees are non-refundable unless otherwise stated. In the event of any disputes regarding fees, please contact our support team.

8. Crypto and Financial Transactions

8.1. Cryptocurrency Transactions

You acknowledge that cryptocurrency transactions are subject to market volatility and may involve significant risks. Milways does not guarantee any specific return on investment or yield.

8.2. Collateral Requirements

When accessing credit lines or other services that require collateral, you agree to provide accurate information regarding your cryptocurrency holdings. Failure to maintain sufficient collateral may result in the liquidation of assets as per our policies.

8.3. Compliance with Regulations

You agree to comply with all applicable laws and regulations regarding the use of cryptocurrencies and financial services. This includes, but is not limited to, Anti-Money Laundering (AML) and Know Your Customer (KYC) requirements.

9. Intellectual Property

9.1. Ownership

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are the exclusive property of Milways or its licensors and are protected by intellectual property laws.

9.2. License

Subject to your compliance with these Terms, Milways grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

9.3. Restrictions

You agree not to:

• Modify, copy, or create derivative works based on the Services.

• Reverse engineer, decompile, or disassemble any part of the Services.

• Rent, lease, or sublicense the Services.

10. User Content

10.1. Responsibility for Content

You are solely responsible for any Content you upload, post, or otherwise transmit through the Services. You retain ownership of your Content but grant Milways a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, and display your Content in connection with providing the Services.

10.2. Content Standards

You agree not to upload or transmit Content that:

• Infringes any intellectual property rights of others.

• Is unlawful, defamatory, obscene, or otherwise objectionable.

• Contains viruses, malware, or other harmful components.

• Violates these Terms or any applicable laws or regulations.

11. Disclaimers and Limitation of Liability

11.1. Disclaimers

• Services Provided “As Is”: Our Services are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied.

• No Financial Advice: The information provided through the Services does not constitute financial, investment, or legal advice. Users should consult with their own advisors before making financial decisions.

• No Guarantee of Success: Milways does not guarantee the success, profitability, or security of your investments or financial activities.

11.2. Limitation of Liability

To the fullest extent permitted by law, Milways shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Services.

• Any unauthorized access to or use of our servers and/or any personal information stored therein.

• Any errors or omissions in the Services.

• Any content posted by other Users.

• Any other matter relating to the Services.

11.3. Maximum Liability

In no event shall Milways’ total liability to you for all claims arising out of or relating to these Terms or your use of the Services exceed the amount you have paid to Milways in the past twelve (12) months for accessing the Services.

12. Indemnification

You agree to defend, indemnify, and hold harmless Milways and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney’s fees) arising from:

• Your use of the Services.

• Your violation of these Terms.

13. Governing Law and Jurisdiction

These Terms and your use of the Services are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Prague, Czech Republic, to resolve any disputes arising out of or relating to these Terms or your use of the Services.

14. Dispute Resolution

14.1. Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by arbitration in Prague, Czech Republic, before a single arbitrator. The arbitration shall be administered by an arbitration institution agreed upon by the parties or, if the parties cannot agree, by a reputable arbitration organization in Prague.

14.2. Waiver of Class Action

You agree that any arbitration will be limited to your individual claim and that neither you nor Milways will seek to have a judge or jury resolve any disputes. You further agree that you will not participate in a class action lawsuit or class-wide arbitration against Milways.

14.3. Equitable Relief

Notwithstanding the arbitration agreement, Milways reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights or to protect its confidential information.

15. Amendments to Terms

Milways reserves the right to modify or replace these Terms at any time. If the alterations constitute a material change to the Terms, we will notify you by posting a prominent notice on our platform or via email. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those changes become effective, you agree to be bound by the revised Terms.

16. Termination

16.1. By You

You may terminate your Account at any time by contacting our support team. Upon termination, your right to use the Services will immediately cease.

16.2. By Us

We may terminate or suspend your Account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

16.3. Effect of Termination

Upon termination, your right to use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible.

18. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Milways regarding your use of the Services and supersede all prior agreements and understandings, whether written or oral, regarding such subject matter.

19. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Milways’ failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
